Terms of Service

These terms govern your use of Kortex and its related services (the “Service”). Kortex is a product of Kaplex Industries Inc. (“Kaplex”, “we”, “us”), a company incorporated in British Columbia, Canada (incorporation no. BC1599302), of 212–1939 Lee Avenue, Victoria, BC V8R 4W9, Canada. By using the Service, you agree to these terms. If you don’t agree, please don’t use the Service.
What Kortex is
Kortex is a content engine. It takes your ideas, scripts, and recordings and helps produce short-form video — writing, voicing, captioning, cutting, and branding — and can schedule and publish that content to the social accounts you connect. Kortex is offered as a service, and what it does may change as we improve it.
Your account
You are responsible for the accounts and credentials you use to access the Service and for the activity that happens under them. Keep your access secure, give us accurate information, and let us know promptly if you believe your account has been compromised. You must be old enough to form a binding contract where you live to use the Service.
Connecting your social accounts
Kortex can connect to third-party platforms — such as YouTube, Instagram, Facebook, Threads, and Discord — through their official authorization (OAuth) so it can schedule and publish content on your behalf. You authorize us to act on those accounts only as needed to provide the Service. Your use of each platform remains subject to that platform’s own terms and policies, which you are responsible for following. You can disconnect an account at any time, which revokes our access going forward.
Your content stays yours
You keep all ownership of the content, scripts, recordings, and media you provide or that Kortex generates from your inputs (“Your Content”). We claim no ownership of it. You grant Kaplex a limited license to host, process, transform, and transmit Your Content only for the purpose of operating the Service for you — for example, to voice it, caption it, render it, and publish it to the accounts you connect. That license ends when you delete the content or close your account, except for copies we are required to retain by law or that remain in routine backups for a limited time.
You are responsible for Your Content. You confirm that you have the rights to it, that it doesn’t infringe anyone else’s rights, and that publishing it does not break the law or a platform’s rules.
Our materials
The Service itself — our software, interfaces, branding, and the technology behind Kortex — belongs to Kaplex. We grant you a limited, non-exclusive, non-transferable right to use it while these terms are in effect. Everything not expressly granted to you is reserved.
Acceptable use
You agree not to use Kortex to create or publish content that is unlawful, deceptive, infringing, or that violates a connected platform’s rules, and not to misuse the Service — no attempts to break, overload, reverse-engineer, or gain unauthorized access to it, and nothing that would put your connected accounts or ours at risk. We may suspend or end access for anyone who misuses the Service.
Fees
Where the Service or a plan is offered for a fee, the price, billing period, and what’s included are set out when you sign up or in a separate written agreement. Unless stated otherwise, fees are payable in advance and are non-refundable except where required by law. We’ll give you reasonable notice of any change to recurring fees.
Third-party services
Kortex relies on third parties to work — hosting and infrastructure providers, third-party AI service providers that help generate scripts, voice, and captions, and the social platforms you connect to. We don’t control those services, and their availability, behaviour, and policies can change. We’re not responsible for a third party’s acts, omissions, or outages.
No guarantee of results
Social platforms and their algorithms are controlled by third parties and change constantly. We do not guarantee any specific reach, views, engagement, follower growth, revenue, or other outcome from content produced or published with Kortex. The Service helps you make and ship content; how audiences and platforms respond is outside our control.
Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranty of any kind — express or implied — about the Service, including no warranty of accuracy, uninterrupted availability, merchantability, or fitness for a particular purpose. Automatically generated scripts, voice, and captions may contain errors; you are responsible for reviewing content before it is published.
Limitation of liability
To the fullest extent permitted by law, Kaplex is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, content, or goodwill, arising from your use of the Service — even if we were told such damages were possible. Our total liability for any claim connected to the Service is limited to the amount you paid us for the Service in the twelve months before the claim arose. Nothing in these terms limits any liability that cannot lawfully be limited.
Termination
You may stop using Kortex and close your account at any time. We may suspend or end your access if you breach these terms or if we need to for legal, security, or operational reasons. On termination, your right to use the Service ends; the sections that by their nature should survive — ownership, disclaimers, limitation of liability, and governing law — continue to apply.
Changes
We may update these terms. When we make a material change, we’ll update the date above and, where reasonable, tell you. Continuing to use the Service after a change means you accept the updated terms.
